BYLAWS OF HEALTHCARE HUMAN RESOURCES MANAGEMENT ASSOCIATION OF CALIFORNIA, A CALIFORNIA NONPROFIT MUTUAL BENEFIT CORPORATION AS AMENDED AND RESTATED, 1999

ARTICLE I

          The name of this corporation is Healthcare Human Resources Management Association of California.

ARTICLE II
OFFICES

Section 1.   Principal Office.

          The principal office for the transaction of the activities, affairs and business of the corporation is located at 515 South Figueroa Street, Suite 1300, Los Angeles, CA 90071. The board of directors may change the principal office from one location to another. Any change of location of the principal office shall be noted by the secretary of the corporation on these bylaws opposite this section or this section may be amended to set forth the new location.

Section 2.   Other Offices.

          The board of directors may at any time establish branch or subordinate offices at any location where the corporation is qualified to conduct its activities.

ARTICLE III
PURPOSES AND LIMITATIONS

Section 1.   General Purposes.

          The purpose of this corporation is to engage in any lawful act or activity for which a corporation may be organized under the California Nonprofit Mutual Benefit Corporation Law.

Section 2.   Specific Purposes.

          Within the context of the general purposes stated above, this corporation shall, for the purpose of advancing constructive human resources policies and practices in health care organizations:

         (a)    Lead and support health care human resources practitioners and other allied health care managers in the development of resources that will facilitate the effective practice of health care human resources administration;
         (b)    Promote the development and maintenance of high values and ethics in the overall management practices of health care systems;
         (c)    Promote and maintain a professional organization which is responsive to the needs of its members;
         (d)    Provide educational opportunities that support the growth and development of human resources administration professionals, including, but not limited to, seminars, conferences, workshops and courses;
         (e)    Insure positive working relationships with professional organizations and, for the mutual benefit of the members, governmental agencies;
         (f)    Stimulate and conduct research relative to the practice of human resources administration in health care settings;
         (g)    Monitor, review, communicate and actively represent legislative, regulatory and policy issues in the best interests of the members;
         (h)    Gather and circulate relevant information to health care organizations;
         (i)    Assist in the recruitment and placement of health care organization personnel;
         (j)    Promote high standards and foster cooperative relations among the members; and
         (k)    Encourage standardization of health care organization human resources practices and procedures.

Section 3.   Limitations.

          No part of the net earnings of the corporation shall inure to the benefit of any member, private shareholder or individual, as defined for purposes of Section 501(c)(6) of the Internal Revenue Code of 1986 or Section 23701(e) of the California Revenue and Taxation Code. Upon termination and dissolution of the corporation and after payment or adequate provision for the debts, obligations and administrative expenses of the corporation, all remaining assets shall be distributed to a non-profit fund, foundation or corporation, which is organized and operated exclusively for charitable, educational or scientific purposes for the benefit and interest of the health care industry as set forth in thus Article III and which has established tax-exempt status under the United States Internal Revenue Code.
