BYLAWS of HEALTHCARE HUMAN RESOURCES MANAGEMENT ASSOCIATION OF CALIFORNIA, continued ARTICLE IV MEMBERS Section 1. Qualification and Rights of Membership.

Classes and Qualifications. This corporation shall have four (4) classes of members, designated as follows: active, associate, student and honorary. Active membership is open to those persons engaged in the regular performance of general or specialized human resource functions in hospitals, clinics or other health care organizations in California and who are members of an affiliated division. Associate membership is open to those persons not eligible for active membership who, in the opinion of affiliated local human resource groups, would contribute to achieving the objectives and purposes of the corporation and who are members of an affiliated division. Active members in transition may retain active status for a period of one year following separation. The class of associated members shall not exceed 10% of active membership. Student membership is open to those persons engaged in the study of human resources management or hospital administration and who are members of an affiliated division. Honorary membership is conferred on those persons chosen by a unanimous vote of the board of directors for their outstanding services to the field of health care human resources administration and who are members of an affiliated division. |

Admission to Membership. Any person dedicated to the purposes of this corporation who fulfills the qualifications set forth above shall be eligible for membership on approval of the membership application by the board of directors of any division affiliate and payment of such state dues and fees as the board of this corporation may fix from time to time. The board of directors, in its sole discretion, may deny membership in the event a majority of the board present at a duly held meeting determines that a conflict of interest exists. |

Voting Limitations. Associate members, student members and honorary members shall be ineligible for elective office, shall be ineligible for appointment to the board of directors and shall not use the name of the corporation on any promotional materials for any presentations without Board approval. |

Voting Members. Active members shall have the right to vote as set forth in these bylaws, on the election of directors, on the election of officers for whom election by members is provided in the bylaws, on the disposition of all or substantially all of the assets of the corporation, on any merger and its principal terms and any amendment of those terms, and on any election to dissolve the corporation. In addition, active members shall have all rights afforded members under the California Nonprofit Mutual Benefit Corporation Law. |

Division Affiliation. Local health care human resources groups in the State of California may request division affiliation with the corporation. A local health care human resources group is defined as an organization of at least two (2) members in a limited geographical area within the State of California which meets regularly and which endorses the purposes of Article III, and the membership requirements of Article IV, Section 1, and submits dues as required in Section 2 herein below. Division affiliates shall be responsible for their own bylaws and rules of procedure, but such bylaws and rules shall not conflict with these bylaws. Division affiliates shall be admitted to affiliation upon the approval of a majority of the board of directors of this corporation present at a duly held meeting. |
Section 2. Dues, Fees and Assessments. Each member and affiliated division must pay, within the time and on the conditions set by the board of directors, the dues, fees and assessments in amounts to be fixed from time to time by the board. The dues, fees and assessments shall be equal for members of each class, but the board may, in its discretion, set different dues, fees and assessments for each class. The board further may, in its discretion, accept late dues, fees and assessments upon payment of designated penalties. Section 3. Good Standing. Those members who have paid the required dues, fees and assessments in accordance with these bylaws and who are not suspended shall be members in good standing. |
